                                              Restaurant Purchase Process

1. Buyer Visits the Restaurant
The buyer visits the business. If the buyer likes the business, they inform the broker that they are interested in the restaurant and would like to move to the next step.
2. Buyer Signs the Required Documents
The buyer meets with the broker in person and signs the confidentiality agreement.
3. Letter of Intent / Good Faith Deposit
The buyer signs a non-binding Letter of Intent outlining the basic terms of the agreement and gives the broker a $3,000 good faith deposit.
4. Buyer Qualification Review
Before moving forward, the broker reviews the buyer’s credit status, proof that the buyer has the required 15% down payment available in their bank account, citizenship/SBA eligibility, and personal financial statement. If needed, the broker helps the buyer complete the personal financial statement.
5. Loan Estimate / Loan Terms
The broker sends the collected information to the bank. If the bank indicates that it can provide financing to the buyer, the broker presents the estimated loan terms to the buyer. These terms include the interest rate, down payment, closing costs, and estimated monthly payment. If the buyer accepts the loan terms, the process continues.
6. Offer / Sales Agreement / Escrow Deposit
After accepting the loan terms, the buyer makes an official offer by signing the Sales Agreement and depositing $20,000 into the CT Restaurant Brokers escrow account.
7. Financial Review
The buyer reviews the tax returns, profit and loss statements, POS reports, bank deposits, online sales, and any other available financial records.
8. Sales Verification
The buyer conducts a review to verify the accuracy of the sales numbers provided by the seller through the broker. During this review, the buyer may examine food purchase invoices, credit card statements, POS sales reports, and other relevant records.
9. Landlord Review
Before the bank process begins, the buyer contacts the landlord and reviews the draft lease agreement. The minimum lease term is 5 years plus a 5-year option, for a total of 10 years.
10. Health Department / Code Compliance Inspection
The buyer requests an inspection by the health department. The health department visits the restaurant and performs an inspection. They provide the buyer with written notice of any repairs, deficiencies, or required paperwork needed for the buyer to obtain a food sales license.
11. Removal of Contingencies
Once the buyer is satisfied with the sales, lease agreement, and health department inspection, the contingencies are removed and the process moves to the next step.
12. Deposit Sent to the Bank / Bank Process Begins
After all reviews are completed and everything is satisfactory, the broker sends $10,000 of the buyer’s deposit to the bank. The bank then begins the full loan process.
13. Bank Processing and Closing Preparation
The bank orders the appraisal, completes the loan underwriting, issues final loan approval, and prepares for closing.
14. Closing and Transfer Process
The buyer signs the loan and lease documents. The seller transfers the business to the buyer, and the training/transition period begins.

Proceso de Compra de un Restaurante
1. El comprador visita el restaurante
El comprador visita el negocio. Si al comprador le gusta el negocio, informa al corredor que está interesado en el restaurante y que desea pasar al siguiente paso.
2. El comprador firma los documentos requeridos
El comprador se reúne con el corredor en persona y firma el acuerdo de confidencialidad.
3. Carta de Intención / Depósito de Buena Fe
El comprador firma una Carta de Intención no vinculante que describe los términos básicos del acuerdo y entrega al corredor un depósito de buena fe de $3,000.
4. Revisión de calificación del comprador
Antes de continuar, el corredor revisa el estado crediticio del comprador, la prueba de que el comprador tiene disponible en su cuenta bancaria el pago inicial requerido del 15%, la ciudadanía/elegibilidad para SBA y el estado financiero personal. Si es necesario, el corredor ayuda al comprador a completar el estado financiero personal.
5. Estimación del préstamo / Términos del préstamo
El corredor envía la información recopilada al banco. Si el banco indica que puede proporcionar financiamiento al comprador, el corredor presenta al comprador los términos estimados del préstamo. Estos términos incluyen la tasa de interés, el pago inicial, los costos de cierre y el pago mensual estimado. Si el comprador acepta los términos del préstamo, el proceso continúa.
6. Oferta / Acuerdo de venta / Depósito en escrow
Después de aceptar los términos del préstamo, el comprador hace una oferta oficial firmando el Acuerdo de Venta y depositando $20,000 en la cuenta escrow de CT Restaurant Brokers.
7. Revisión financiera

9. Revisión del arrendador
Antes de que comience el proceso bancario, el comprador se comunica con el arrendador y revisa el borrador del contrato de arrendamiento. El plazo mínimo del arrendamiento es de 5 años más una opción de renovación de 5 años, para un total de 10 años.
10. Inspección del Departamento de Salud / Cumplimiento del código
El comprador solicita una inspección por parte del Departamento de Salud. El Departamento de Salud visita el restaurante y realiza una inspección. Ellos proporcionan al comprador una notificación por escrito sobre cualquier reparación, deficiencia o documentación requerida para que el comprador pueda obtener una licencia de venta de alimentos.
11. Eliminación de contingencias
Una vez que el comprador está satisfecho con las ventas, el contrato de arrendamiento y la inspección del Departamento de Salud, se eliminan las contingencias y el proceso pasa al siguiente paso.
12. Depósito enviado al banco / Comienza el proceso bancario

7. Finansal İnceleme
Alıcı; vergi beyannamelerini, kâr-zarar raporlarını, POS raporlarını, banka mevduatlarını, online satışları ve mevcut diğer finansal kayıtları inceler.
8. Ciro Doğrulaması
Alıcı, satıcının emlakçı aracılığıyla bildirdiği cironun doğruluğunu teyit etmek için inceleme yapar. Bu inceleme sırasında gıda alım faturalarını, kredi kartı ekstrelerini, POS satışlarını ve diğer ilgili kayıtları inceleyebilir.
9. Mal Sahibi İncelemesi
Alıcı, banka süreci başlamadan önce mal sahibi ile iletişime geçer ve taslak kira sözleşmesini inceler. Minimum kira süresi 5 yıl + 5 yıl opsiyon olmak üzere toplam 10 yıldır.
10. Sağlık Departmanı / Kod Uygunluk Kontrolü
Alıcı, restoranın sağlık departmanı tarafından incelenmesini talep eder. Sağlık departmanı restoranda denetim yapar ve alıcının gıda satış lisansı alabilmesi için yapılması gereken tamirleri, eksikleri ve doldurulması gereken evrakları yazılı olarak bildirir.
11. Şartların Kaldırılması
Alıcı; satışlar, kira sözleşmesi ve sağlık departmanı incelemesinden memnun kaldığında, gerekli şartlar kaldırılır ve bir sonraki aşamaya geçilir.
12. Kaporanın Bankaya Gönderilmesi / Banka Sürecinin Başlaması
Tüm kontroller tamamlandıktan ve her şey uygun görüldükten sonra emlakçı, alıcıdan aldığı kaporanın $10,000’lık kısmını bankaya gönderir. Banka tam kredi işlem sürecini başlatır.
13. Banka İşlem Süreci ve Kapanış Hazırlığı
Banka ekspertiz siparişi verir, kredi değerlendirmesini tamamlar, nihai kredi onayını verir ve kapanış için hazırlık yapar.
14. Kapanış ve Devir Süreci
Alıcı kredi ve kira sözleşmesi evraklarını imzalar. Satıcı işletmeyi alıcıya devreder ve eğitim/geçiş süreci başlar.
